3. No Guarantees
While we use proven strategies and data-driven practices, marketing performance depends on many external factors outside our control.
We do not guarantee:

Specific revenue results

Lead volume
-
Ad performance
-
Rankings or placements
-
Platform approvals
Past performance does not guarantee future results.
4. Client Responsibilities
Clients agree to:

Provide timely access to ad accounts, websites, analytics, and platforms

Supply accurate information and assets
-
Approve creative and strategy in a timely manner
-
Maintain payment schedules
Delays caused by lack of access or approval may impact results and timelines.
5. Fees & Payments

Fees are outlined in your service agreement or invoice

Payments are due as stated (typically upfront or monthly)
-
Late payments may result in paused services
-
Ad spend is separate from agency fees unless otherwise stated
-
All payments are non-refundable unless specified in writing
6. Intellectual Property
Agency Property
All proprietary methods, frameworks, processes, templates, and tools developed by Lipht remain our intellectual property.
Client Property
You retain ownership of your brand assets, content, and accounts.
Work Product
Upon full payment, clients receive rights to final deliverables created specifically for their campaigns (ads, creative, copy, etc.), unless otherwise agreed.
7. Confidentiality
Both parties agree to keep confidential information private and not disclose proprietary or sensitive information without written consent.
This includes strategies, pricing, data, and business information.
8. Third-Party Platforms
We may use platforms such as:

Google

Meta
-
TikTok
-
Shopify
We are not responsible for:

Platform outages
-
Policy changes
-
Account suspensions
-
Algorithm changes
-
Ad disapprovals
These are outside our control.
9. Limitation of Liability
To the fullest extent permitted by law:
Lipht shall not be liable for any indirect, incidental, special, or consequential damages, including lost revenue or profits.
Our total liability will not exceed the amount paid to us in the previous three (3) months of services.
10. Indemnification
Clients agree to indemnify and hold Lipht harmless from claims arising from:

Misleading claims or unlawful advertising

Client-provided content

Violations of platform policies

Legal or regulatory violations related to the client’s business
11. Termination
Either party may terminate services per the agreement terms.
Upon termination:

Outstanding invoices remain due

Active campaigns may be paused

Access to accounts is returned to the client
No refunds for work already completed.
12. Website Use
You agree not to:

Copy or reproduce site content without permission

Attempt to hack, disrupt, or misuse the website

Use the site for unlawful purposes
All content on this site is owned by Lipht unless otherwise stated.
13. Testimonials & Case Studies
By working with us, you grant permission for Lipht to:

Reference your brand name and logo

Share non-confidential results
-
Publish anonymized or approved case studies
You may request removal in writing.
14. Privacy
Your use of our website is also governed by our Privacy Policy, which explains how we collect and use information.
15. Changes to Terms
We may update these Terms at any time. Continued use of our site or services constitutes acceptance of the revised Terms.
16. Governing Law
These Terms & Conditions and any disputes arising from or related to our services shall be governed by and construed in accordance with the laws of the United States and the laws of the State of Idaho, without regard to conflict of law principles.
Clients agree that they are solely responsible for complying with all applicable local, state, federal, and international laws, regulations, and industry standards related to their advertising, marketing, data usage, and business practices. This includes compliance with all relevant regulatory or oversight bodies that may govern advertising or marketing activities in any jurisdiction where campaigns are conducted.
Lipht makes no representation that its services comply with the laws of every jurisdiction, and clients are responsible for obtaining any necessary legal review or approvals required for their specific industry or region.
Any legal action or proceeding shall be brought exclusively in the courts located within the State of Idaho.
